In an order received today by the company, which serves as
preparation for the oral hearing date set for 20 June 2006, the
Landgericht (regional court) Kiel has raised objections against
immediate approval of the merger after a provisional appraisal, and
has provided the parties with a period of four weeks to comment. The
Landgericht Kiel doubts the existence of a priority registration
interest and also questions the effectiveness of the approval
resolution of the shareholders' meeting of the company with regard to
the settlement with France Télécom S.A. in January 2003 and
consequently also the effectiveness of the settlement itself. The
company is confident that it will be able to clear the objections of
the court which have now been raised.
